기한의 이익의 상실

 

기준원에 다시 출근한 첫날. 원장님, 팀장님 등이 삼국회의 출장이라 여유가 있다. 이메일로 회람된 질의회신 보고서를 읽다가 '기한의 이익의 상실'이란 뜻을 몰라서 찾아 보았다.

지금은 삭제되었지만 상법 505조에 나온다.

제505조(기한의 이익의 상실)

영문법령센터의 번역은 아래와 같다.

Article 505 (Acceleration)

(1) If a company has neglected to pay interest on the bonds or has neglected to redeem them where a part of the bonds are to be redeemed at fixed periods, the bondholders may by a resolution of a meeting of bondholders give notice to the company to the effect that payment thereof must be made within a fixed period of time and that if the company fails to make payment within such period, it shall accelerate payment of the whole amount of the bonds: Provided, That such period shall not be shorter than two months.

(2) The notice mentioned in paragraph (1) shall be given in writing.

(3) If a company fails to pay within the period mentioned in paragraph (1), it shall accelerate the payment of the whole amount of the bonds.

어떤 문서에서는 '기한의 이익의 상실'을 직역해서 'waiver of the benefit of time'이라고 쓰기도 하였으나 영어에서 이런 표현은 없다고 생각한다. 

채무자가 돈을 안 갚는 등 계약조건을 어기면 채권자가 만기 전에 돈을 회수하겠다는 것이 '기한의 이익의 상실'이니까 acceleration of payment라고 보면 되겠다.
